When you have determined that a practice transition is necessary to meet the goals you have established during Phase I or Phase II, it is appropriate for you to engage us for this additional service. The Practice Evaluation and Transition Consultation includes a detailed plan analysis and development of a sales strategy utilizing our transition methodology. Under this system, Cain, Watters and Associates defines the continuing relationship between a doctor and an associate in three distinct phases: Employment Phase, At Risk Phase, and Buy-in Phase. During your consultation, we strive to provide all parties with a thorough understanding of each phase, including when to sell, who to sell to, and how to sell.
In order to obtain the best result, a personal long-term goal and plan are essential. Therefore, in all cases, the "Practice Transition" service is only available to clients who have completed Personal Financial Independence Planning (Phase I). Additionally, our fee for this service is listed in a range and is applied based on the following additional prerequisites: A) whether the seller has engaged CWA for Monitoring - Annual Planning Review and Update (Phase II), and B) whether the seller and the buyer have attended the Practice Transition Seminar. This service includes:
- Detailed review of practice financial statements, appraisals, tax returns, and other supporting documentation.
- Full day meeting in our offices with the seller’s financial advisor, the seller, and the buyer, which includes detailed discussions of the review of process, the role of attorneys, the three phases of the sale process, expense and revenue sharing, purchase of assets, assumption of debts, the practice valuation, rent, legal structure, financing, the Four D’s, buy sell insurance, and tax savings for the associate.
- Practice Valuation
- Full day meeting in our offices the following day for the buyer with a CWA financial advisor. This meeting will serve as the Personal Financial Independence Planning (Phase I) prerequisite should the buyer decide to commence with an ongoing relationship with our firm after the effective date of the sale.
